State below in reasonable detail why Forms 10 - K, 20 - F, 11 - K, 10 - Q, 10 - D, N - SAR, N - CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

Exela Technologies, Inc. (the “Company”) is unable to file, without unreasonable effort or expense, its Annual Report on Form 10-K for the period ended December 31, 2018 (the “Form 10-K”). The Company experienced unanticipated delays in compiling certain information relating to one of its tuck-in acquisitions completed during the year that is necessary to complete the 2018 integrated audit and to prepare a complete filing of its Form 10-K in a timely manner. The Company has issued a press release regarding its results for the year ended December 31, 2018, and we do not expect any material changes to the financial results from the press release to be reflected in the Form 10-K when filed. The Company intends to file the Form 10-K within the fifteen-day extension period. Based on its review of the Company’s disclosure controls and procedures, the Company’s management expects to conclude and disclose that certain material weaknesses in internal control over financial reporting existed at December 31, 2018 and, as a result, the Company’s internal control over financial reporting was not effective.  Notwithstanding such weaknesses, the Company’s management expects to conclude that the consolidated financial statements to be included in the Form 10-K will present fairly, in all material respects, the Company’s financial position, results of operations and cash flows for the periods to be presented in the Form 10-K, in conformity with GAAP.
