Edgemode, Inc. (the “Company”) is unable to file the Quarterly Report on Form 10-Q for the quarter ended March 31, 2024 (the “Form 10-Q”) in a timely manner without unreasonable effort or expense, as the Company is still compiling the necessary financial information to complete the filing due to challenges in preparing such financial information. The Company expects to file the Form 10-Q on or prior the fifth calendar day following the prescribed due date.

The Company expects to report a net loss significantly smaller for the quarter ended March 31, 2024 as compared to the quarter ended March 31, 2023, primarily because of a significant decrease in general and administrative expenses in 2024 related to non-cash stock-based compensation. For the quarter ended March 31, 2024, non-cash stock-based compensation was $0 as compared to $1,236,487 for the quarter ended March 31, 2023.
