On or about September 9, 2022, Zendesk, Inc. sent the following letter to shareholders:


Dear Zendesk Stockholder,

As you are likely aware, on June 24, 2022, Zendesk announced that it entered into a definitive agreement to be acquired by an investor group led by leading global investment firms Hellman & Friedman and Permira (“the Consortium”) in an all-cash transaction that values Zendesk at approximately $10.2 billion. Under the terms of this agreement, Zendesk stockholders will receive $77.50 per share for 100% of the outstanding common shares of Zendesk stock.

Because of the strategic and financial significance to Zendesk and its stockholders, Zendesk believes it is important that all stockholders vote on the transaction. The Zendesk Board strongly encourages stockholders to vote “FOR” the proposed transaction with the Consortium at the Special Meeting on September 19.
