All:

Earlier today, we published an investor presentation to provide additional context on the process leading to the Board’s decision in connection with the merger transaction with the investor group led by Hellman & Friedman and Permira, as well as challenges to the Company’s business momentum that preceded that decision and have continued since announcement.

The information in this presentation includes detail on our business momentum which provides additional color to discussions we’ve had related to business challenges over the past several months. We understand that this information can be challenging to absorb, but we believe that it is necessary to provide this transparency to our stockholders so that they can fully understand our Board’s decision as they are asked to vote on the transaction.
