Item 2.02 Results of Operations and Financial Condition.

On August 6, 2019, the Company issued a press release announcing its financial results for the three and six month periods ending June 30, 2019. The Company is making reference to non-GAAP financial measures in the press release.  A reconciliation of these non-GAAP financial measures to the comparable GAAP financial measures is contained in the attached press release.
A copy of that release is furnished with this filing as Exhibit 99.1.
