| (1) | Consists of a restricted stock unit award made pursuant to the Issuer's Amended and Restated 2012 Omnibus Equity Incentive Plan, and each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock. This award will vest in full on the earlier of (i) the one year anniversary of the date of grant and (ii) the date immediately preceding the date of the Issuer's 2021 annual meeting of stockholders, subject in each case to the Reporting Person continuing to serve as a director on such vesting date. Pursuant to the Reporting Person's election, once vested, the settlement of these restricted stock units will be deferred until the earlier of the Reporting Person's termination of service on the Board or a change in control of the Issuer. |
