| (1) | Represents an equal number of restricted stock units ("RSUs") granted pursuant to the 2019 Equity Incentive Plan (the "Plan"). All of the shares subject to the RSUs vest and become immediately exercisable on the earlier of (i) the one-year anniversary of the date of grant of the annual award and (ii) the day prior to the date of the next annual meeting of the Company's stockholders that occurs following the grant of the award, in each case subject to continued service as a non-employee director through the applicable vesting date. In the event of a Change in Control (as defined in the Plan), the shares subject to the RSUs become fully vested and exercisable, subject to continued service as a non-employee director through such date. |
