Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 29, 2020, Kimberly Ross notified PQ Group Holdings Inc. (the “Company”) that she would resign from the Company’s Board of Directors as a result of her accepting the position as Chief Financial Officer of WeWork, a space-as-a-service platform. Ms. Ross will remain a director through the close of business on April 30, 2020, at which time her resignation will become effective.
