EXPLANATORY NOTE

This Post-Effective Amendment No. 1 (this “Amendment”) to the Registration Statement on Form S-1 of Planet Labs PBC (File No. 333-261923), initially filed on December 28, 2021 and declared effective by the Securities and Exchange Commission (the “SEC”) on January 6, 2022 (the “Registration Statement”), is being filed for the purposes of (i) filing a consent of Ernst & Young LLP with respect to its report dated April 14, 2022 relating to the financial statements of Planet Labs PBC contained in its Annual Report on Form 10-K for the year ended January 31, 2022 (the “Annual Report”) and included in the Prospectus Supplement No. 2 dated April 14, 2022 filed pursuant to Rule 424(b)(3), filed herewith as Exhibit 23.1 (the “Consent”), as well as certain other exhibits included in the Annual Report, and (ii) providing the undertakings required by Item 512 of Regulation S-K that were inadvertently omitted from the initial filing of the Registration Statement.
