Subject: OnDeck Business Update – Enova to Acquire OnDeck

Earlier today, OnDeck announced it has entered a definitive agreement to be acquired by Enova, creating the nation’s first choice online financial service provider. Upon close, Enova will acquire OnDeck as a wholly owned subsidiary. OnDeck’s brand, products and services will continue under Enova’s existing portfolio of brands. We believe this combination is the right decision for our business and the right decision for our customers.

Above all else, we want you to know that OnDeck is still here. OnDeck’s brand will continue. As we work towards closing later this year, we’ll be working internally, with Enova, and with you to ensure a smooth and successful transition into Enova’s portfolio. In the meantime, nothing changes. We will continue lending and servicing small businesses customers around the nation, with your help.

We also wanted to provide some additional detail and background on why OnDeck entered this agreement. The shared values, vision, and focus on underserved communities, innovation, and expanding access to financial services make this a great match. This transaction enables OnDeck to further its core mission to provide small businesses with industry leading customer service and access to transparent capital, while improving our funding profile and access to capital markets by joining Enova’s portfolio of brands.

The combined company will provide product diversification and increased market presence, which coupled together will make a more resilient, better-capitalized company. We believe OnDeck and Enova have complementary expertise, experienced management teams with histories of successfully executing and integrating transformative businesses, and a combined funding profile that will enable continued growth and expansion for both parties.
