Explanation of Responses:
(1)  This amended Form 4 reflects a correction to the number of restricted stock units granted to the Reporting Person on July 29, 2019.
(2)  Each restricted stock unit ("RSU") represents a contingent right to receive one share of the Issuer's Common Stock upon settlement for no consideration. The RSUs will vest as to 1/3 of the total award on each of July 29, 2020, July 29, 2021 and July 29, 2022, subject to the Reporting Person's provision of services to the Issuer on such vesting dates. Shares of the Issuer's Common Stock will be delivered to the Reporting Person following vesting.
(3)  The options will vest as to 1/3 of the total award on each of July 29, 2020, July 29, 2021 and July 29, 2022, subject to the Reporting Person's provision of services to the Issuer on such vesting dates.
