Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 7, 2019, Mettler-Toledo International Inc. (the “company”) stated that Simon Kirk, Head of Product Inspection, and Michael Heidingsfelder, Head of Industrial, will retire from their roles of Division Head at the end of this year. Both will stay with the company a few more months to ensure a smooth transition.

Effective January 1, 2020, Peter Aggersbjerg will become Head of Divisions & Operations. In connection with his additional responsibilities, the company entered into a new employment agreement with Mr. Aggersbjerg where his salary increased from CHF 318,200 gross per annum to CHF 435,000 gross per annum, effective January 1, 2020. The other material terms of the new employment agreement are consistent with his current agreement.
