Item 8.01. Other Events.

On November 4, 2019, the Company announced the commencement of a private offering of $1.250 billion aggregate principal amount of Senior Secured Notes due 2023 (“Notes”). The Notes will be senior, first-priority secured obligations of the Company initially guaranteed on a senior, first-priority secured basis by the Company’s subsidiaries that are guarantors under its existing syndicated credit facility.

The Notes and the guarantees will be offered to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act, and non-U.S. persons outside of the United States pursuant to Regulation S under the Securities Act. The Notes and the guarantees have not been registered under the Securities Act and will not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state laws.

A copy of the press release announcing the intention of the Company to offer the Notes is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
