Item 3.03. Material Modification to Rights of Security Holders.

 

On February 14, 2020, Luby’s, Inc. and American Stock Transfer & Trust Company, LLC entered into the Second Amendment to Rights Agreement (the “Second Amendment”), amending the Rights Agreement, dated as of February 15, 2018, as amended by the First Agreement to Rights Agreement, dated as of February 11, 2019 (as amended, the “Rights Agreement”). The Second Amendment extends the final expiration time of the Rights Agreement from 5:00 p.m. New York City time on February 15, 2020 to 5:00 p.m. New York City time on February 15, 2021.

 

The foregoing description of the Second Amendment does not purport to be complete and is qualified in its entirety by reference to the Second Amendment, which is filed as Exhibit 4.3 hereto and is incorporated herein by reference.
