EXPLANATORY NOTE
Pursuant to General Instruction E of Form S-8, Local Bounti Corporation (the “Registrant”) is filing this Registration Statement on Form S-8 (the “Registration Statement”) with the Securities and Exchange Commission (the “Commission”) to register an additional 2,473,042 shares of Common Stock, par value $0.0001 per share (the “Common Stock”), under the Local Bounti Corporation 2021 Equity Incentive Plan, as amended (the “2021 Plan”), following the amendment to the 2021 Plan to increase the number of shares issuable under the 2021 Plan that was approved by the Registrant’s stockholders on, and which became effective as of, June 11, 2025. 2021 Equity Incentive Plan
This Amendment (this “Amendment”) to the Local Bounti Corporation 2021 Equity Incentive Plan (the “Plan”) is dated as of June 11, 2025.
WHEREAS, pursuant to Section 23(a) of the Plan, the Administrator has the authority to amend the Plan, subject to the extent necessary and desirable to comply with Applicable Laws; and
WHEREAS, the Board deems it advisable and in the best interests of Local Bounti and its stockholders to amend the Plan to increase the number of shares for which awards may be granted under the Plan by an additional 2,473,042 shares.
NOW THEREFORE, it is hereby acknowledged and agreed that:
