Results of Operations and Financial Condition.
|
On April 27, 2020, Kimbell Royalty Partners, LP (“Kimbell”)
issued a news release announcing its preliminary and unaudited first quarter of 2020 financial and operational results. A copy
of the news release is attached hereto, furnished as Exhibit 99.1 and incorporated in this Item 2.02 by reference.
The information contained in this Item 2.02 and the accompanying
Exhibit 99.1 shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended
(the “Exchange Act”), or otherwise subject to the liability of such section, nor shall such information be deemed incorporated
by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, regardless of the general incorporation

Also on April 27, 2020, Kimbell announced that the board of
directors of Kimbell Royalty GP, LLC, its general partner, declared a quarterly cash distribution of $0.17 per common unit for
the quarter ended March 31, 2020. The distribution will be paid on May 11, 2020 to common unitholders of record at the close of
business on May 4, 2020.
