Results of Operations and Financial Condition. |
On August 4, 2022, Heritage Insurance Holdings, Inc. (the “Company”) issued a press release announcing financial results for its fiscal quarter ended June 30, 2022. A copy of the press release is attached hereto as Exhibit 99.1.

On August 2, 2022, Steven Martindale, a member of the Board of Directors (the “Board”) of the Company, tendered his resignation from the Board effective as of August 2, 2022. Mr. Martindale tendered his resignation in light of a potential conflict of interest with his other business interests and his resignation was not the result of any dispute or disagreement between Mr. Martindale and the Company on any matter relating to the Company’s operations, policies or practices.
