Corporation ("Huami" or the "Company") (NYSE: HMI), a biometric and
activity data-driven company with significant expertise in smart
wearable technology, today announced the commencement of a proposed
registered underwritten public offering by the Company and certain
selling shareholders of American depositary shares (the "ADSs"),
each representing four Class A ordinary shares of the Company. The
Company proposes to offer 793,650 ADSs (the "Primary ADS
Offering"), and the selling shareholders propose to offer 7,142,850
ADSs (the "Secondary ADS Offering" and, together with the Primary
ADS Offering, the "ADS Offering"). The underwriters in the ADS
Offering have a 30-day option to purchase up to 119,050 additional
ADSs from the Company and up to 1,071,450 additional ADSs from
certain selling shareholders.
Morgan Stanley & Co. LLC, Credit Suisse Securities
(USA) LLC and Citigroup Global
Markets Inc. will act as the joint bookrunners for the ADS
Offering.
A preliminary prospectus related to the proposed ADS Offering
has been filed with the United States Securities and Exchange
Commission (the "SEC") and is available on the SEC's website at
www.sec.gov. The ADSs may not be sold nor may offers to buy be
accepted prior to the time the registration statement on Form F-3
containing the preliminary prospectus becomes effective under the
