Explanatory Note

This Amendment No. 1 to Current Report on Form 8-K (this “Form 8-K/A”) amends the Current Report on Form 8-K of Hill International, Inc. (the “Company”) filed with the Securities and Exchange Commission March 17, 2020 (the “Original Form 8-K”). This Form 8-K/A is being filed solely to correct the EDGAR headers of the Original Form 8-K. The text of the Original Form 8-K has not changed.

Item 2.02 Results of Operations and Financial Condition.
 
On March 16, 2020, Hill International, Inc. (the “Company”) issued a press release announcing the certain results of operations for the quarter and fiscal year ended December 31, 2019. A copy of the press release is included as Exhibit 99.1 to this Current Report on Form 8-K and is hereby incorporated by reference into this Item 2.02.
