Item 1.01 Entry into a Material Definitive Agreement

 

On March 24, 2022, our compensation committee established a compensation plan for the company’s non-employee directors. Under the plan, each director is to receive annually $100,000 in cash, payable quarterly, and 500 shares of restricted common shares. The shares are to be issued effective June 2, 2022, and subject to restrictions on transfer until May 20, 2023. During the period of restriction, the directors will be entitled to dividends and all other rights of ownership. Director Eric Hoffman waived his compensation.
