RICHMOND, Va., April 29, 2019 /PRNewswire/ -- Genworth Financial, Inc. (NYSE: GNW) and China Oceanwide Holdings Group Co. Ltd (Oceanwide) today announced they have agreed to a 10th waiver and agreement of each party's right to terminate the previously announced merger agreement. The 10th waiver and agreement extends the previous deadline of April 30, 2019 to June 30, 2019 in consideration of pending regulatory reviews.

The closing of the transaction remains subject to the receipt of regulatory approval in Canada.  In addition, Oceanwide will need to receive clearance in China for currency conversion and the transfer of funds.  Genworth and Oceanwide remain committed to satisfying the closing conditions under the merger agreement as soon as possible.

As previously announced, Genworth will hold a conference call on May 1, 2019 at 8 a.m. ET to discuss the results of the first quarter as well as provide an update on strategic objectives, including the pending transaction with Oceanwide.
