Item 4.01    Changes in the Registrant’s Certifying Accountant.

As previously disclosed in its Schedule 14A filed on April 22, 2021, the Audit Committee of the Board of Directors (the “Audit Committee”) of Flotek Industries, Inc. (the “Company”) has been evaluating whether any change in the Company’s registered independent public accounting firm for the 2021 fiscal year is appropriate. The Audit Committee has completed its review and has engaged KPMG LLP (“KPMG”) as its independent registered public accounting firm effective as of June 29, 2021. Simultaneous with the engagement of KPMG, the Audit Committee has released its former independent registered public accounting firm, BDO USA, LLP (“BDO”).

None of BDO’s' reports on the Company's financial statements for the fiscal year ended December 31, 2020 contained an adverse opinion or a disclaimer of opinion, or was qualified or modified as to uncertainty, audit scope or accounting principles, other than an opinion that the Company did not maintain, in all material respects, effective internal control over financial reporting as of December 31, 2020. During the fiscal year ended December 31, 2020 and for the subsequent interim period from January 1, 2021 to June 28, 2021, there were (i) no disagreements between the Company and BDO on any matter of accounting principles or practices, financial statement disclosure or auditing scope or procedure, which disagreement, if not resolved to the satisfaction of BDO, would have caused BDO to make reference to the subject matter of the disagreement in their reports on the Company's consolidated financial statements for such years, and (ii) no "reportable events" as that term is defined in Item 304(a)(1)(v) of Regulation S-K.

During the fiscal years ended December 31, 2019 and December 31, 2020 and the subsequent interim period from January 1, 2021 to June 28, 2021, neither the Company nor anyone on its behalf consulted with KPMG regarding (i) the application of accounting principles to a specified transaction, either completed or proposed, (ii) the type of audit opinion that might be rendered on the Company's financial statements, and no written report or oral advice was provided by KPMG to the Company that KPMG concluded was an important factor considered by the Company in reaching a decision as to the accounting, auditing or financial reporting issue, or (iii) any matter that was subject to a disagreement (as described in Item 304(1)(a)(iv) of Regulation S-K) or a reportable event (as described in Item 304(a)(1)(v) of Regulation S-K).

The Company provided BDO with a copy of the disclosure it is making in this Current Report on Form 8-K and provided BDO with the opportunity to furnish the Company with a letter addressed to the SEC containing any new information, clarification of the Company's expression of its views, or the respects in which it does not agree with the statements made by the Company. A copy of BDO’s letter dated July 1, 2021 is attached hereto as Exhibit 16.1
