Today is a monumental day for Fiserv. I’m thrilled to share with you that, moments ago, we announced that Fiserv will acquire First Data to create the preeminent global provider of payments and financial technology. Together, we will integrate our solutions to better serve the needs of the changing market, extend our collective scale and deliver innovation that will further differentiate us in an increasingly competitive world.

Like Fiserv, First Data is a client-focused, global company with best-in-class payments technology solutions that help its clients grow their businesses. We have long admired First Data for its leading capabilities in merchant acquiring and global issuing services, which complement our offerings and enable an enhanced value proposition for all our clients. This combination is about growth and bringing together two industry leaders, and their respective strengths and capabilities, to deliver unique and superior value today, and well into the future.

Through this transaction, we will be positioned to offer a more extensive range of high-value client solutions with an even more extensive range of end-to-end capabilities for our clients. In addition, we will have one of the largest and broadest merchant services platforms in the world, including e-commerce, integrated payments and cloud-based point-of-sale solutions. We will also meaningfully expand our issuer processing capabilities across credit, debit, risk and network services.

This transformative combination advances our ability to redefine the way we move money and information for our clients and their customers, and brings many exciting new opportunities for our clients, people and shareholders. Following the close of this transaction, we expect to create a five-year investment program aimed at continued innovation in new and existing solutions to create additional value for our clients.

The combined company will maintain the Fiserv name and brand, and will be headquartered in Wisconsin. I will serve as Chief Executive Officer and Chairman, and Frank Bisignano, First Data Chairman and Chief Executive Officer will become President and Chief Operating Officer.

There are many reasons to be excited about this announcement, yet until the transaction closes, Fiserv and First Data will continue to operate as independent companies. We expect to complete the transaction during the second half of 2019, subject to customary closing conditions and regulatory approvals.
