(1) On January 25, 2023, EXPWHP, LLC acquired 5,434,783 shares of common stock of the Issuer at a per share purchase price of $4.60 through a private placement transaction.
(2) Represents shares held directly by EXPWHP, LLC. The Reporting Person is a managing member of WH Borrower, LLC, the parent and managing member of EXPWHP, LLC, and shares voting and dispositive power over the securities held by EXPWHP, LLC. Accordingly, the Reporting Person may be deemed to have or share beneficial ownership of such securities. The Reporting Person disclaims beneficial ownership of the securities held by EXPWHP, LLC, except to the extent of any pecuniary interest therein.
