(1)  Engex, Inc., a closed-end mutual fund, liquidated and distributed, on a pro rata basis and without consideration, shares of Common Stock to its shareholders, among whom were Kinder Investment LP and Laya Perlysky (Mr. Perlysky's wife).
(2)  Represents a distribution of shares of Common Stock by Engex, Inc. to Laya Perlysky, of which Dov Perlysky disclaims beneficial ownership.
(3)  Represents a distribution of shares of Common Stock by Engex, Inc. to Kinder Investment LP, an entity of which Dov Perlysky is the Managing Member of the General Partner.
