Item 7.01 Regulation FD Disclosure.

On May 16, 2022, Emergent BioSolutions Inc. issued a press release announcing the entry into a definitive agreement with Chimerix, Inc. (“Chimerix”), to acquire Chimerix’s exclusive worldwide rights to TEMBEXA® (brincidofovir), the first antiviral medical countermeasure for smallpox approved by the U.S. Food and Drug Administration for all age groups. A copy of the press release is attached hereto as Exhibit 99 and is incorporated herein by reference.
