Item 8.01 Other Events.
On December 12, 2022, Coty Inc. (NYSE: COTY) (“Coty” or the
“Company”) announced that it has entered into agreements with
several bank counterparties to start hedging a planned share
buyback program of approximately $200 million in calendar year
2025. A copy of the press release announcing these transactions is
attached to this Current Report on Form 8-K as Exhibit 99.1. A copy
of the press release is also available on its website at
www.investors.coty.com, under the “Investor News” tab.
