The following joint communication is an e-mail from Frank Holding, Chairman and CEO of First Citizens BancShares, Inc. (“First Citizens”), and Ellen Alemany, Chairwoman and CEO of CIT Group Inc. (“CIT”) sent to certain employees of First Citizens and CIT on January 15, 2021.

This is going to be a year characterized by exciting plans and activities related to the anticipated combination of our two outstanding organizations, and we’re looking forward to much progress in the days and months ahead.

We’ve already made a tremendous amount of headway since we emailed last month, including ongoing comprehensive planning and preparation activity by our core merger and integration teams. A special meeting of stockholders is scheduled for Feb. 9, 2021 to obtain necessary stockholder approvals, with closing of the proposed transaction targeted for the second quarter of this year, pending regulatory approvals. We’re still aiming for multiple conversion stages during late 2021 and early 2022.

We filed regulatory applications in early December, and continue to have constructive dialog with the regulators and answer their questions. We’ll keep you posted related to approvals.

Leaders and teams are working industriously on getting to know associates and leaders, as well as advancing integration planning in order to position the combined bank organization to deliver on our strategic goals and objectives.

Part of this path forward includes leadership and other workforce refinements. While we’re committed to communicating them as quickly as possible, we of course want to devote adequate time to making good decisions. Various teams and organizations will convey individual associate information at different times, as it’s finalized.

Beyond those announcements, efforts are focused on getting to closing. Subsequent work related to conversion is a massive undertaking touching all aspects of our businesses: technological systems, operations, products and services and much more.

Again, we pledge to continue to provide updates all along the way. Please continue to ask your merger-related questions through the established channels.
