Item 1.01 Entry into a Material Definitive Agreement.

On March 27, 2020, (i) CONSOL Funding LLC, as borrower (the “Borrower”), (ii) CONSOL Pennsylvania Coal Company LLC, as initial Servicer (the “Servicer”) and (iii) PNC Bank, National Association (“PNC”), as lender, LC bank and administrative agent entered into that certain Fifth Amendment (the “Amendment”) to Receivables Financing Agreement dated as of November 30, 2017 (the “Agreement”).

Among other things, the Amendment extended the scheduled termination date for the Agreement from August 30, 2021 to March 27, 2023. The Interest Rate and the Facility Limit (each as defined in the Agreement) remain unchanged; the maximum amount of advances and letters of credit outstanding under the Agreement may not exceed $100 million.
