CCC.WS) (the "Company"), a global leader in providing trusted
insights and analytics to accelerate the pace of innovation, today
announced the closing of its previously announced underwritten
offering of 27.6 million ordinary shares at $20.25 per share, which includes 3.6 million
shares sold upon the full exercise of the underwriters' option to
purchase additional ordinary shares.
The Company intends to use the $539.7
million in net proceeds of the offering to fund a portion of
the $900 million cash consideration
for the previously announced acquisition of Decision Resources
Group (the "DRG Acquisition") and to pay related fees and expenses.
If the DRG Acquisition is not consummated for any reason, the
Company intends to use the net proceeds of the offering to repay
outstanding indebtedness.
