On May 10, 2022, Biohaven Pharmaceutical Holding Company Ltd. (“Biohaven”) and Pfizer Inc. issued a joint press release announcing their entry into an Agreement and Plan of Merger, dated as of May 9, 2022, by and between Biohaven, Pfizer and Bulldog (BVI) Ltd., and Biohaven’s entry into a Separation and Distribution Agreement, dated as of May 9, 2022, with Biohaven Research Ltd., pursuant to which Biohaven will spin out certain assets to a newly-formed, publicly traded entity and Pfizer Inc. will subsequently acquire all outstanding shares of Biohaven.

A copy of the joint press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
