Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As a consequence of an organizational realignment aiming to streamline our Acute Pain sales organization, integrate our recently acquired businesses, and refocus our organizational structure around our franchises, the senior officer position of President - Global Franchises will be eliminated effective as of August 31, 2019. The Company’s current President - Global Franchises, John R. Tushar, will be leaving the Company as of that date and his duties and responsibilities will be assumed by other members of management.
