Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 22, 2019, Cindy Z. Michel, a director on the Board of Directors (the “Board”) of Apollo Commercial Real Estate Finance, Inc. (the “Company”), informed the Board that she will not be standing for re-election to the Board at the Company’s next annual meeting of stockholders. Ms. Michel’s decision to not stand for re-election to the Board was not the result of any dispute or disagreements with the Company on any matter relating to the Company’s operations, policies or practices.
