Zovio Inc (the “Company”) is filing this Notification of Late Filing on Form 12b-25 with respect to its Annual Report on Form 10-K for its fiscal year ended December 31, 2021 (the “Annual Report”). The Company is unable to file, without unreasonable effort or expense, its Annual Report within the prescribed time period because it requires additional time to review and implement the company’s near term strategic direction prior to finalizing its financial statements to be included in such Annual Report. The Company intends to file its Annual Report as soon as practical.
