(b)    On April 12, 2021, Mark C. Treanor notified Virtus Investment Partners, Inc. (the “Company”) and Timothy A. Holt, Chairman of the Company’s Board of Directors (the “Board”), of his decision to retire as a member of the Board effective April 16, 2021 pursuant to the Board’s retirement policy. Mr. Treanor’s retirement is not the result of a disagreement with the Company. Mr. Treanor has served as a member of the Board since the Company became a public company in 2009 and as its Chairman from 2009 through February 2021. Mr. Treanor is a member of the Company’s Compensation Committee and Governance Committee.
