SUPPLEMENTAL PROXY MATERIALS PROVIDE ADDITIONAL INFORMATION REGARDING THE ANNUAL MEETING OF STOCKHOLDERS
The
following press release is a Notice of Change of Date and Location (the “Notice”) of the Annual
Meeting of Stockholders (the “Annual Meeting”) of Vislink Technologies, Inc. (the “Company”), originally
scheduled for Friday, April 17, 2020. The Notice supplements the Definitive Proxy Statement (the “Proxy Statement”)
that the Company filed with the Securities and Exchange Commission (the “SEC”) on March 30, 2020. As described in
the Notice below, the Company plans to adjourn the Annual Meeting to Friday, May 8, 2020 by means of remote communication,
which will be provided by the Company in a subsequent notice ahead of the adjourned meeting, and to announce such adjournment
at the originally scheduled Annual Meeting. The Annual Meeting will continue to be held at 9:00 a.m. (Eastern Time). The
Notice is being filed with the SEC and is being made available to stockholders on or about April 16, 2020.
It
has become impracticable to convene the Annual Meeting at the physical location for which it has been noticed due to the public
health impact of the coronavirus disease 2019 (“COVID-19”) outbreak and the governmental restrictions limiting the
number of people who may gather together. The change in the date and the location of the Annual Meeting is to support the health
and well-being of our shareholders and Company personnel, as well as due to the unavailability of virtual hosting platforms on
the originally scheduled date. Due to well-publicized delays in the printing and physical mailing of the “full set”
of issuer materials by proxy service providers or transfer agents, including those servicing the Company, Vislink wants to ensure
its shareholders have adequate time to consider the proposals that are contained in the Proxy Statement.
We
believe that the Notice complies with the recently issued SEC guidance and Delaware State of Emergency Order by Delaware Gov.
John C. Carney, which have been issued in connection with stockholder meetings.
We
intend to design the format of the Annual Meeting to provide shareholders the same rights and opportunities to participate as
they would at an in-person meeting.
Our
board of directors has fixed the close of business on February 20, 2020 as the record date for the determination of shareholders
entitled to notice of, and to vote at, the Annual Meeting and any adjournment or postponement thereof.

the Company plans to adjourn the Annual Meeting of Stockholders, originally scheduled to be held on Friday, April 17, 2020, to
Friday, May 8, 2020 by means of remote communication, which will be provided by the Company in a separate communication ahead
of the adjourned meeting. The Annual Meeting will continue to be held at 9:00 a.m. (Eastern Time).
We
intend to design the format of the Annual Meeting to provide shareholders the same rights and opportunities to participate as
they would at an in-person meeting.
