Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On
March 4, 2020, Vislink Technologies, Inc. (the “Company”) received a letter from Listing Qualifications Department
(the “Staff”) of The Nasdaq Stock Market notifying the Company that the Staff has determined that the Company did
not comply with Listing Rule 5635(d) because it’s recently closed public offering did not meet the Nasdaq definition of
a public offering under Listing Rule IM-5635-3. The Staff’s determination was based on (i) the extent of the offering’s
distribution, (ii) the existence of a prior relationship between the Company and the investors, and (iii) the significant discount
to the minimum price, as defined in Nasdaq rules.
Under
Nasdaq rules, the Company has until March 18, 2020 to submit a plan to regain compliance with Rule 5635. The Company intends to
take the appropriate steps to regain compliance with all Nasdaq rules.
