On February 7, 2020, Trans World Entertainment Corporation (the “Company”) issued a press release (the “Press Release”) regarding the filing of its definitive proxy statement for a special stockholders meeting to be held on February 17, 2020 to approve the Company’s previously announced agreement to sell substantially all of the assets of the Company’s fye segment to a subsidiary of Sunrise Records and Entertainment Ltd. (the “Transaction”).  A copy of the Press Release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated into this Item 8.01 by reference.
