3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On
February 23, 2020, Staffing 360 Solutions, Inc. (the “Company”) received a letter from the Listing Qualifications Staff (the
“Staff”) of The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that it was no longer in compliance
with the bid price requirement, as set forth in Listing Rule 5550(a)(2), for continued listing on The Nasdaq Capital Market. Pursuant
to the Panel Decision dated June 28, 2021, the Company is not eligible for the 180-day bid price compliance period set forth in the Listing
Rules. As a result, the Company is subject to delisting from The Nasdaq Capital Market, unless the Company timely requests a hearing
before a Nasdaq Hearings Panel (the “Panel”). Accordingly, the Company intends to timely request a hearing before the Panel,
which will automatically stay any suspension or delisting action pending the issuance of a decision by the Panel following the hearing
and the expiration of any additional extension period granted by the Panel following the hearing.
There
can be no assurance that the Panel will grant the Company a further extension or that the Company will be able to ultimately regain compliance
with the applicable listing requirements.
