the filing of a registration statement on Form S-1 with the U.S.
Securities and Exchange Commission (SEC). This filing with
the SEC is intended to register for resale the common stock
underyling the $9.45 million of units
sold at $14.00 per unit, which unit
consists of one share of the Company's common stock and and a
warrant to purchase .70 shares of common stock at $16.00 per share. This private placement was
previously completed on June 19,
2019. The Company is not selling any shares under this Form
S-1.
The Company's Form S-1 registration statement has been filed
with the SEC but has not yet become effective. These shares may not
