Explanatory Note

 

On April 12, 2019, Soliton, Inc. (the “Company”) filed a Current Report on Form 8-K announcing dismissal of Marcum LLP (“Marcum”) as the Company’s independent registered public accounting firm (the “April 12 8-K”). The April 12 8-K is restated in its entirety and is amended in part to include a letter from Marcum to the Securities and Exchange Commission regarding the statements made by the Company in the April 12 8-K concerning the circumstances of its dismissal in accordance with Regulation S-K Items 304(a)(3) and 601(b)(16).

 

Item 4.01     Changes in Registrant's Certifying Accountant.

 

(a) On April 9, 2019, the Audit Committee of the Board of Directors (the “Audit Committee”) of Soliton, Inc. (the “Company”), dismissed Marcum LLP (“Marcum”) as its independent registered public accounting firm, effective as of such date.

 

The report of Marcum on the Company’s consolidated financial statements as of December 31, 2018 and for the year then ended did not contain an adverse opinion or disclaimer of opinion, and was not qualified or modified as to uncertainty, audit scope, or accounting principles, other than an explanatory paragraph relating to the Company’s ability to continue as a going concern. During the year ended December 31, 2018 and through April 1, 2019 there were no: (1) disagreements (as defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions to Item 304 of Regulation S-K) with Marcum on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedures, which disagreements, if not resolved to the satisfaction of Marcum, would have caused Marcum to make reference to the matter in its report on the consolidated financial statements for such year.

 

The Company has provided Marcum with a copy of the foregoing disclosures and requested that it furnish a letter to the Securities and Exchange Commission stating whether or not it agrees with the above statements, and, if not, stating the respects in which it does not agree. A copy of such letter is filed as Exhibit 16.1 to this report.

 

(b) On April 9, 2019, the Audit Committee approved the appointment of Dixon Hughes Goodman LLP (“DHG”) as the Company’s independent registered public accounting firm for the fiscal year ended December 31, 2019.

 

During the Company’s last two fiscal years and through April 1, 2019, neither the Company nor anyone on their behalf consulted with DHG with respect to either (i) the application of accounting principles to a specific transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Company’s financial statements, and neither written nor oral advice was provided to the Company that DHG concluded was an important factor considered by the Company in reaching a decision as to any accounting, auditing or financial reporting issue; or (ii) any matter that was either the subject of disagreement (as defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions to Item 304 of Regulation S-K) or a reportable event (as described in Item 304(a)(1)(v) of Regulation S-K).
