Reading the most recent 8K report, The Chair comes to the rescue again. Need another 1/2M, no problem.
Mark doesn't really need to ingratiate himself w/SOFO. He owns 40+% of company already. Taking it private is already a done deal IMO. Makes me wonder if CEO Mozden was brought in or CFO Minor was paid to unretire to hasten the realignment of this issue. Private = employees & management safe/the headache of endless filings alleviated. Down the road this company can still be a great success. The only losers are those pesky shareholders who should have known this was a longshot from the get-go 25 years ago.

Been a seriously rough several months. They have seemingly been unable to build on the momentum they had in June and it shows in the stock price. While I still have a high degree of skepticism concerning the current C-Suite and cardinal decision-makers, things are brewing.

Vidiable is interesting and there a large partnerships currently in play that can sling shot this stock back into relevance… will all depend on their ability to close in the coming weeks. Still long and have been cautiously adding on the way down.

They need to close on the current partnership in play just to stop the bleeding a bit and get on more solid footing with NASDAQ… could easily be looking at a 3x bump once the news breaks. Vidiable is the basket in which their eggs should be and I hope they’re competent enough to pull it off.

SOFO is cheap, BCOV & QUMU trade around a P/S of 5 and are barely profitable, SOFO's P/S is near 1 and reported $0.08 EPS last quarter.

The new CEO has only been on the job six months, but the changes in their marketing are evident and seam to be improving the business case already.

This is the cap table I put together for it:
Capital Structure

? 66,000 warrants @ $2.57/share
? $917,000 term debt @ 6/30/2020
? Chairman’s note could have converted @ $1.30/share, but he
chose to convert @ $5/share

If you take a look at their income statements and subtract the interest payment they'll no longer have after settling the Chairman's debt, you'll see a fair amount should begin to fall to the bottom line in Q4 and lead to a healthy EPS for a stock at this price.

If (I personally believe its more a matter of "when") they begin to show some growth too, it won't be long before some in the market decide SOFO should see higher multiples like its peers BCOV & QUMU.

Long time holder of Sonic. Very much an under the radar company. In an amazing industry that is obviously the future for businesses and schools. Buyout takeover is obviously begun. I do believe $5 is the starting point. Perhaps once break over $5 institutions and attention comes to Sonic. Stock barely trades and is super thin.
My thought and belief is it is a buyout of at least $8 a share or greater. Any other thoughts on those who follow or read this board?

Sonic Foundry Releases Preliminary 2008 Fiscal Q1 Results

MADISON, Wis., Jan. 24 /PRNewswire-FirstCall/ -- Sonic Foundry® Inc. (Nasdaq: SOFO - News), a leader in automated rich media communications technology, today announced that it expects its fiscal first quarter revenue, ending December 31, 2007, to be approximately $2.5 million and first quarter loss to be approximately $3.5 million or $(0.10) per share. Key factors affecting the quarter involve:

-- Slowing economic conditions, specifically within the corporate and
financial services markets on which the company historically depends
for sales in its fiscal first quarter;

-- Lagging sales to corporate customers, leading the company to allocate
more resources to the higher education market, which is seasonally
weaker in fiscal Q1;

-- An increased focus on fiscal Q2 product roll outs and education
bundles supporting Microsoft's Silverlight technology, allowing for
the best cross-platform, cross-browser playback for Windows and Mac
environments;


Business seasonality is increasingly affecting results, with the higher education market buying at a faster rate midyear. However, recent sales pipeline activity is now being derived to a greater extent from higher education and this segment has increased beyond historical levels of 50 percent.

As a result, the company continues to build its product and service offerings to address consistent and growing demand from the higher education sector, where scale and efficiency of sales efforts are emerging most rapidly. Similarly, it anticipates that newly developed service offerings will continue to generate more revenue in application areas such as corporate training and knowledge delivery online. An increase in sales efficiency is also expected with the company's concentration on additional sales to existing customers within these target markets.

With the change in market sector demands, Sonic Foundry is now deploying a greater portion of its resources to faster growing segments. This effort includes the introduction of new product bundles and expanded service offerings in fiscal Q2. The company has also initiated cost savings measures that will reduce its operating costs by approximately $4 million annually and improve its progress towards profitability. I've heard many rumors over the years including one where IBM was going to buy Dell (many years ago). I have very little faith in these types of rumors and do not make my investment decisions based on such hearsay. If a buyout happens, my hope is it will be at a decent PPS which for the long time shareholders whom have been very patient over the years.

I'd be very surprised if any of these was the mole. I can tell you that nothing would make me happier than to have Dell buyout SOFO.

But it seems very odd that a Board member at Dell, casually leaked this insider information to your friend. Not only is that a HUGE no..no, but extremely unethical. I tell you what, 'IF' this news turns out to be true, I think that the Board Moderator, rwwine should delete our posts on this subject so that we won't be subpoenaed to testify in that BOD's trial! I called her and just got off the phone with her. She said that she was having lunch with a gentleman who is a director at Dell and he told her that Dell was going to buy Sonic Foundry. She clarified the time frame by saying that he told her it could happen at the end of this quarter, but it was more likely to be at the end of next quarter. The announcement that is. She mentioned a price per share and I asked her if she knew how sensitive this information was and she did not. She does not invest in the market. This is why I think he may have mentioned this to her. Because she does not play the market. This is what I know. She is credible to me because I've known her for years and she has no reason to lie.

I couldn't figure out your post over at Yahoo either. Possibly you could contact your high school friend and try to get her to clarify her earlier remarks to you.

Just seems kind of odd that a Dell director would let sensitive information like that slip out.

"IF" this rumor were true, I would think that others in the know would have pushed SOFO's stock price much higher than it currently is sitting at.


I've spoken w/the CEO a couple times in the past yr. concerning the possibility of this company being acquired. Rimas doesn't hide the fact that this is a distinct possiblity. But I think rwwine's estimation of 12-36 month time frame is dead-on.

I heard it from a girl I went to high school with who SAID SHE WAS TOLD by a director of Dell. There, that's how I was told, that's the truth, and I know I'm gonna regret even bringing this up now.

I heard from a from a friend I've known since high school, that either this quarter or next quarter the announcement would come that SOFO was being bought out by Dell. She told me she learned this from a Dell Director who sits on the board. I know this is completely rumor to everyone else. But on my end it's coming from a trusted friend. So I found it interesting that you mentioned they would be a good takeover candidate. But I can't figure out why Dell would buy them. Has anyone else heard anything about this?

Here are my personal thoughts on Sonic Foundry (all IMHO) as of today.

Sales growth from quarter to quarter has been very encouraging. SOFO continue to improve on many different levels.

SOFO is no longer just a “hardware” company. They now are incurring services revenue that is also growing nicely but need to continue.

Valuation play. I feel that the market capitalization for SOFO today (30-40 Million) is very appealing. With the estimated growth rate that SOFO management foresees and has discussed on their recent quarterly update, I continue to believe the future of SOFO is very positive.

Management reiterated recently that they still expect to reach $15 Million in sales for 2006. They had a chance recently to revise these numbers down after a “slow” first quarter, but instead made comments alluding to tremendous growth/project prospects in the upcoming quarters.

I like Mediasite. It is a very simple tool and I believe has tremendous long term value as more individual in the Educational and Government market segments. I believe the other market of tremendous growth lie outside the US territories.

The recent “insider” purchasing by the CEO I believe is a strong positive sign of things to come. I am a simple Midwest individual. A personal investment of $100,000 is a lot of money, at least to my thinking.

If you look at the % amount of insider ownership, they own I believe 17%. Another 22% of the shares are held by Institutional & Mutual Fund Owners. Neither of these groups has sold one share.

Longer term, 12-36 months out, I see SOFO as a strong buyout candidate. The value attached to the buyout is uncertain at this juncture, all depends on how well their sales and service contracts grow and the acceptance of www.MediaSite.com
