Item 8.01. Other Events.
On May 28, 2020, Qorvo, Inc. issued a press release announcing that it proposes to offer, subject to market conditions and other factors, an additional $250 million principal amount of its 4.375% Senior Notes due 2029 in a private offering to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to certain non-U.S. persons in accordance with Regulation S under the Securities Act. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
