Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. 

 

On February 14, 2020, James G. Keisling, who has served as a director of Peoples Financial Services Corp. (the “Company”) and Peoples Security Bank and Trust Company since 2013, informed the Company of his decision not to stand for re-election at the Company’s 2020 annual meeting of shareholders. Mr. Keisling will remain a director and maintain his committee memberships through the 2020 annual meeting.

 

Mr. Keisling’s decision not to stand for re-election was not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

 

Mr. Keisling served as a director of Penseco Financial Services Corporation and Penn Security Bank and Trust Company from 1984 until their merger with the Company and Peoples Security Bank and Trust Company in 2013.
