For quite a while, this particular stock was doing very well, then without warning it suddenly crashed yesterday and is dropping today as well. What actually happened is some very wealthy executives dumped huge numbers of shares. It's abundantly clear that the wealthy and powerful have way too much leverage to get everything their way.
Is the stock market rigged against average investors? You bet it is! Unless you are retired and have the time to sit at a computer screen all day long to watch constantly for sudden market shifts, you probably cannot convert stock investments into a serious money making tool. I made the mistake of investing in this stock thinking it would make more money than most other semiconductor stocks. For awhile it did until the market manipulations by some very wealthy executives caused the sudden huge price drops.

Belatedly, yes, it was jerked out from under their greedy hands by the PRC.
I bought more too, expecting a vigorous rebound and continued growth.
Apparently management spent the time and $ pouting ,and has no real plans for future development.
Disheartened, i bailed out.

It's a shame! It was a hot company with a bright future.
No real future plans, management is investing the $ that should have gone to R&D into their future salaries and bonuses instead...Ugly.

NXP Semi Tanks After Failed Merger, Here's the Trade $NXPI

Earlier today, Qualcomm (NASDAQ:QCOM) officially ended its takeover of NXP Semiconductor NV (NASDAQ:NXPI) after failing to get Chinese regulatory approval. This news is sending NXPI stock lower by nearly 7.0 percent to $91.63 a share. NXPI stock is now testing the pivot low from May 3, 2018. Should the stock close below this key support level on weekly chart basis it will signal another leg lower for the stock. Traders and investors must now watch for major support around the $80.00 area. This level is where the stock broke out in September 2016. Often, prior breakout levels will serve as excellent support for a stock when it is retested.

Qualcomm Inc.'s decision to abandon the takeover of NXP Semiconductors NV produced a cash windfall for the Dutch chip maker, but left it scrambling to spell out what its future may hold.

Qualcomm late Wednesday walked away from the $44 billion deal after the Chinese government didn't give its blessing to the takeover amid trade tensions with the U.S.

NXP is due to collect a $2 billion breakup fee, but President and Chief Executive Richard Clemmer on Thursday called the outcome "unfortunate" after such a prolonged process. "We are confident in our future as an independent market leader," he said as the company posted second-quarter results.

The company tried to ease investor anxiety, announcing a $5 billion share buyback.

Its most immediate challenge, though, could be to assure shareholders NXP is a company with a plan.

Since a deal was announced in October 2016, NXP stopped providing financial forecasts and holding quarterly conference calls with analysts. Mr. Clemmer exercised options and sold more than $400 million of NXP shares last autumn when they were trading around $113. On Wednesday, they traded at $98.37.

NXP Chief Financial Officer Daniel Durn left a year ago for the same role at rival semiconductor maker Applied Materials Inc.

"You worry about losing the good people," said Stacy Rasgon, a Bernstein Research analyst, adding that NXP "likely needs a new senior management team."

NXP is planning to brief investors on its second-quarter results Thursday and said it would provide additional detail about its plans at a future meeting with analysts.

NXP, though, must confront the reality that the markets it competes in are changing. Based in a leafy office park in the small city of Eindhoven, Netherlands, NXP is the world's leading maker of chips used in cars, especially for infotainment systems and sensors. It also makes chips for identification and public-transit cards. In 2017, it reported $9.3 billion in sales and a net profit of $2.2 billion.

But the prospect of growing fleets of self-driving cars has driven other chip makers into the automotive sector. Intel Corp. last year agreed to buy Israel's Mobileye NV to expand its expertise in helping self-driving vehicles hit the roads. Samsung Electronics Co. in late 2016 agreed to buy U.S. automotive technology provider Harman International Industries Inc.

NXP could find itself marginalized. "A lot of what they sell are things like sensors and peripherals and infotainment-type stuff, but in the long run, the premise is the car will become more and more like a computer, and NXP doesn't that have expertise today," said Tore Svanberg, a Stifel Nicolaus analyst. He said Qualcomm has that know-how, but not the auto-industry relationships that NXP has, which made the marriage attractive.

NXP declined to comment for this article.

Activist investor Elliott Management Corp. has built up a stake in NXP over the past year and pushed Qualcomm to offer a higher price for the Dutch company, arguing that the takeover target promised strong earnings growth. Elliott couldn't immediately be reached for comment.

The good news for NXP, according to analysts, is that its business is profitable, even without the $2 billion breakup fee. That gives NXP the strength to grow as a stand-alone company while allowing it to consider acquisitions down the road.

"It'll be a perfectly fine stand-alone company," Mr. Rasgon said.

Sincerely hope this lousy deal folds!
In the time we were hung up in it's clutches, NXPI has presumably continued to increase sales and innovate....And grow at it's previous furious rate.
Qualcom didn't really try to increase it's offer proportionately, much less offer the normal premium for a fast growing company.
We are worth much more now and i'll be pleased when we are free of the torpid Qual parasitic slug.
When the deal folds, perhaps the PPS will slump for a bit, then we surge up to our rightful value.
Isn't that ever so encouraging?

I have 1000 shs, 10 Cov. Jan 2019 110 Calls, and a Bull Put Spread 110/105.

Buyout net to me with expired option puts my effective price of 121 and change. Left some on the table but made good overall on the deal with a net basis of 98 and change.

and violates their fiduciary duty to us.
Can they do this without a majority of the shareholders?
Please don't give your shares to them!
We own a fast growing company in a strong position and Qualcom is neither. The premium they keep offering is dinky and insulting.

That is rubbish. If the deal is not honored not only will NXP be paying the huge breakup fee, the share price will decline to where it belongs (minus the deal) approximately 20% to 25% below the current price. Shareholders had best be careful what they wish for.

I remain angry at our admin and BOD for even considering the lousy deal.
I can't imagine how they could have accepted it without under-the-table remuneration.... their obligation to the stockholders forgotten if not betrayed.

Qualcom is biding their time. What was this trading for before the offer? Why is it trading where it is today. If it looks like the deal may fall through, what will it be trading for? If it looks like there will be no increase in purchase price, what will it be trading for? Here is an interesting article that I think pretty much sums it up.

Do NXP shareholders really want to pay this break up fee???? (" the company would owe Qualcomm a breakup fee of $1.25 billion") If so I would be happy to accept it. Paul Singer is playing with fire again, he may get burned again.

If NXP breaks off the engagement, presumably because a better offer turned up, the company would owe Qualcomm a breakup fee of $1.25 billion. If Qualcomm fails to complete its pre-closing reorganization, or external forces such as regulatory reviews trip up the deal, Qualcomm would send $2 billion to NXP instead.

These breakup fees are quite significant. NXP's trailing free cash flows currently stand at $1.4 billion while Qualcomm's bubbled up to $6.9 billion. A canceled deal could essentially double or erase NXP's cash flows, and Qualcomm would certainly feel the effects deep in the wallet.

What a farce!
We should be seeing a much higher valuation and Qualms should be offering a 30% premium on top of that.
As stockholders in a fast growing company, we would be much better off if the offer was withdrawn.

More extension on the offer and they say they'll keep doing it.
Same measly offer.
Meanwhile, the SP has exceeded the offer amount by a bit and the value of the company continues to rise apace.
Again; if we go along with the sale, we'll be stuck with Qualcon's slow growth instead of the rocket we own.
Please urge management to back out of the deal.

Qualcom tender offer extended another month, still only have 12% of our shares (yea!) but haven't even upped their offer.
Meanwhile, our independent PPS should be rising steadily as we continue to make deals and alliances. put out new chips, and so on.

Sure would be pleased if Qualcom would quietly go away when their tender offer expires.
Our PPS had been appreciating briskly till they made their offer 1/2 a year ago,
but they have not raised the ante.
We are much better off without them.
