Remark Holdings, Inc. (“we” or "our") is unable to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2019 (the “Report”) without unreasonable effort or expense due to delays in obtaining and compiling information for inclusion in the Report. We expect to be able to file the Report on or before the fifteenth calendar day following its original prescribed due date.

In May 2019, we completed the sale of Vegas.com, LLC, which comprised our previously-reported Travel and Entertainment segment. We anticipate that the sale of Vegas.com, LLC will cause a significant change in our results of operations; however, we are not able to quantify the change at this time as the audit of our 2019 consolidated financial statements is not complete.
