Explanatory Note
Liberty TripAdvisor Holdings, Inc. hereby files this Current Report on Form 8-K/A to amend certain aspects of Item 7.01 and Exhibit 99.1 of the original Form 8-K filed with the Securities and Exchange Commission on January 31, 2019 for the sole purpose of updating the time of the Company's quarterly Q&A conference call on February 28, 2019.
Item 7.01. Regulation FD Disclosure.
On February 11, 2019, Liberty TripAdvisor Holdings, Inc. (the “Company”) announced that interested shareholders and analysts are invited to participate in a brief quarterly Q&A session following the completion of the prepared remarks on Liberty Media Corporation’s (“LMC”) fourth quarter earnings conference call. During this Q&A session management will be accepting questions regarding both LMC and the Company. Chairman, President and Chief Executive Officer, Greg Maffei, will host the conference call on Thursday, February 28
th
. The time of this conference call has been changed to 10:00 a.m. (E.S.T.). During the call, Mr. Maffei may discuss the financial performance and outlook of both companies, as well as other forward looking matters.
This Current Report on Form 8-K and the press release attached hereto as Exhibit 99.1 are being furnished to the Securities and Exchange Commission under Item 7.01 of Form 8-K in satisfaction of the public disclosure requirements of Regulation FD and shall not be deemed "filed" for any purpose.
