Item 8.01 Other Events.
As previously reported, on October 4, 2019, HTG Molecular Diagnostics, Inc. (the “Company”) received a letter (the “Notice”) from The Nasdaq Stock Market (“Nasdaq”) advising the Company that for the 30 consecutive trading days preceding the Notice, the bid price of the Company’s common stock had closed below the $1.00 per share minimum required for continued listing on The Nasdaq Capital Market pursuant to Nasdaq Listing Rule 5550(a)(2) (the “Minimum Bid Price Requirement”). Under Nasdaq Listing Rule 5810(c)(3)(A), the Company was originally afforded 180 calendar days to regain compliance with the Minimum Bid Price Requirement, subject to an extension for an additional 180 calendar days if the Company met certain criteria as of the end of the initial 180 calendar day period. On April 2, 2020, Nasdaq granted the Company’s request for a 180-calendar day extension to regain compliance with the Minimum Bid Price Requirement. If the Company does not regain compliance with the Minimum Bid Price Requirement by the end of the additional 180 calendar day period, or September 28, 2020, the Company’s common stock will be subject to delisting.
The Company intends to monitor the closing bid price of its common stock and may, if appropriate, consider implementing available options to regain compliance with the Minimum Bid Price Requirement, including a reverse stock split.
