NEW YORK and NAPLES, Fla., April 29, 2020 /PRNewswire/ -- Gordon Pointe
Acquisition Corp. (Nasdaq: GPAQ) ("GPAQ") today announced that it
will postpone its special meeting of stockholders (the "Special
Meeting") relating to its previously announced pending business
combination with HOF Village, LLC ("HOFV"), which was originally
scheduled for Monday, May 4,
2020. GPAQ will announce the new date, time and record date
for the Special Meeting in a subsequent release. The deadline
for GPAQ stockholders to exercise their redemption rights with
respect to their shares of Class A common stock in connection with
the Special Meeting will also be postponed to two business days
prior to the rescheduled meeting date.
Despite the parties' continued confidence in completing the
business combination, due to market dynamics caused by the Covid-19
pandemic, GPAQ has determined that additional time is needed to
satisfy the conditions to closing set forth in the Merger
Agreement.
GPAQ's special meeting to vote on a proposal to further extend
the deadline to consummate its initial business combination to
June 15, 2020, plus an option to
extend for an additional 30 days will continue to be held as
planned on May 14, 2020, as
previously disclosed.
