prescribed period.
Golden Bull Limited (the “Company”)
could not complete the filing of its Annual Report on Form 20-F for the period ended December 31, 2019 due to delays in obtaining
and compiling information to be included in its Form 20-F,primarily as a result of the effects of Covid-19 in China where the Company’s
operations are located, which delay could not be eliminated by the Company without unreasonable effort and expense.

As publicly announced the Company began
to wind down its then existing peer to peer lending business in China in early 2019 and shut it down in the fourth quarter of
2019. As a result, the Company’s consolidated financial statements have materially changed as compared to the period ended
December 31, 2018.
